Aerospace Capital Partners is a capital search and business brokerage firm. We assist privately-held companies worldwide to locate capital, buy and sell businesses, facilitate mergers, acquisitions, revenue sharing arrangements, joint ventures and other business combinations (also known as "M&A Transactions"). We are not an investment bank, investment company, or broker-dealer pursuant to the US Securities and Exchange Act of 1934 ("Exchange Act"). As such, we do not charge any up-front fees or have any custody, control, possession, or otherwise handle, any funds or securities issued or exchanged in connection with any of our Clients' transactions. Our Clients are in complete control of the transactions, decisions, and funds. In addition, none of our M&A Transactions involves any public offerings or the registration and fees associated with such transactions. Any offering or sale of securities in connection with any transaction that we consult our clients on are conducted in compliance with all applicable exemptions from registration under the Securities Act of 1933 ("Securities Act"). No party to any M&A Transactions that we handle is a shell company, other than a business combination related shell company as allowed by the Securities Act and the Exchange Act. All of our transactions are completely transparent to our Clients and all fees are disclosed in writing before they ever hire us. In any M&A Transaction where we assists our Clients to obtain financing from unaffiliated third parties, Aerospace Capital Partners complies with all applicable legal requirements, including, as applicable, Regulation T of the United States Code (12 CFR 220), issued by the Board of Governors of the Federal Reserve System pursuant to the Exchange Act (15 USC 78a et seq.). Simply put, everything we do is in compliance with all governmental laws and handled in a professional and ethical manner.
