We focus largely on the representation of growing entrepreneurial clients. These include start-up enterprises and ongoing private and public companies engaged in any number of fields such as biotechnology, medical devices, software and computers, electronics, health care, telecommunications, banking and financial services. Many of our clients are high growth and technology based. We provide advice and assistance to these clients on founder arrangements, equity incentive plans, licensing matters, employment agreements, distributorship agreements, private equity and venture capital financings, acquisitions and divestitures, joint ventures and strategic corporate partnerships, among other matters.Our firm counsels more mature businesses and individuals on a range of issues including tax and estate planning, shareholder arrangements and corporate transactions. In addition, we specialize in controversies between taxpayers and the Internal Revenue Service and the Massachusetts Department of Revenue and disputes in the context of closely held companies. We also counsel tax-exempt organizations.We are a small, service driven firm. We try to learn as much about the client's business as we can and then assume an ongoing advisory and advocacy role. Our objective is to problem solve and to add value by advancing the client's business objectives.
