The two main significant pieces of legislation governing anti-corruption enforcement are the UK Bribery Act and the US Foreign Corrupt Practices Act (FCPA). Both regulations have an extraterritorial effect and not only apply to acts by employees, but also to any associated parties or agents, basically anyone who acts on the Company's behalf. As penalties are high, being able to demonstrate an adequate and effective compliance programme is in place would be the only defence and is key to reducing or avoiding such penalties, should an incident occur. Part of being able to prove you have an effective compliance programme, is conducting a regular external assessment of the programme, but that can be very expensive.
