Haley Associates Limited Partnership (HA) is an Omaha, Nebraska based company. John E. "Jack" Haley, its managing member, has been involved in income producing properties (apartments) for thirty-two years. He initiated property acquisitions in 1992 that make up the current portfolio of HA. Four hundred (400) investors are limited partners of Haley Associates Limited Partnership (HA), a master limited partnership, which in turn is the sole limited partner in thirty-five (35) affiliated limited partnerships (Affiliate). Each Affiliate owns and operates an apartment community, which in aggregate, total 8,483 apartment units. The apartments are located in twenty-four cities throughout ten states. This two tiered structure, HA and its Affiliates, allows each individual investor of HA to "own" part of all the Affiliates, which gives great diversity for his/her investment and reduces the risk of any one Affiliate being in a temporary financial down turn.Each Affiliate generates cash flow that is used for, first, retirement of debt, operating and maintenance expenditures, and, finally, distributions for its sole limited partner, HA, which in turn distributes 99.99% of this cash flow to its limited partners (the 400 investors). With each new apartment community acquisition, a new Affiliate is created. To facilitate the purchase it utilizes debt furnished by Fannie Mae, Freddie Mac, and other lenders, and additional equity from HA. HA obtains the additional equity by adding new limited partners, and in many instances, additional investment from existing limited partners.
