Pomcor acquires certain companies whose primary asset is real estate. Pomcor purchases the stock of "C" corporations (and similarly taxed entities) that have sold, or want to sell all, or a significant portion of their real property. In instances where a corporation has entered into a contract to sell its real property at a sizable taxable gain, Pomcor will purchase the corporate stock at a price substantially greater than the amount the owners of the corporation would otherwise realize if the company paid its tax and distributed the proceeds.Pomcor's pricing and stock acquisition structure has been meaningful to selling shareholders. In some instances, it may bridge a price "gap" that consequently makes a transaction possible. Pomcor's stock purchase price may allow a company to accept a lower sales price for its real property while, overall, still netting the shareholders the same (or greater) after-tax proceeds. Pomcor acquires companies both, where there is a buyer for the real property owned by the company, and where there is no other party inclined to purchase the real property assets. The pricing and premium is different depending on the structure and whether there are other assets or operations involved.
